1. Agreement
By accessing this website or using any FCA product or service, you agree to these Terms of Service. If you do not agree, do not use our services. These terms constitute a binding agreement between you and Frontier Catalyst Advisory Limited.
2. Services
FCA provides compliance advisory services, technology products (AuditCore NG, ContractMind NG, and related platforms), and transformation engagements. Service scope, deliverables, and fees are defined in individual engagement letters or subscription agreements.
3. Accounts
Product access requires registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorised access.
4. Acceptable Use
You agree not to: (a) use our products for unlawful purposes, (b) attempt to gain unauthorised access to our systems, (c) interfere with the proper functioning of our products, (d) reverse engineer any FCA technology, or (e) use our products to compete with FCA.
5. Intellectual Property
All FCA products, content, trademarks, and materials are the intellectual property of Frontier Catalyst Advisory Limited. Your subscription grants a limited, non-exclusive, non-transferable licence to use the products during the subscription term.
6. Payment Terms
Subscription fees are billed monthly or annually as selected. Advisory engagement fees are billed as specified in the engagement letter. All fees are in Nigerian Naira. Late payments incur interest at 2% per month. VAT at 7.5% applies to all services.
7. Limitation of Liability
FCA provides advisory and technology services. Our products and advice do not constitute legal, tax, or financial advice. We are not liable for decisions made based on our products or services. Our total liability is limited to fees paid in the 12 months preceding the claim.
8. Termination
Either party may terminate a subscription with 30 days' written notice. We may suspend access immediately if you breach these terms. Upon termination, your data will be available for export for 90 days.
9. Governing Law
These terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved through arbitration in Port Harcourt, Rivers State, under the Arbitration and Mediation Act 2023.
